Welcome to DhaneshWeb Agency. These Terms of Service ("Terms") govern your access to and use of our website, web development, SEO, UI/UX design, and digital marketing services. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Service Agreement & Scope

DhaneshWeb Agency provides custom software development, eCommerce solutions, and digital marketing services. The specific deliverables, timelines, and costs for your project will be outlined in a separate Statement of Work (SOW) or formal Proposal. Any requests outside the scope of the original SOW will be subject to additional billing.

2. Intellectual Property Rights

We believe in full transparency regarding digital ownership. Upon final payment of all outstanding invoices, the Intellectual Property (IP) rights transfer as follows:

• Client Ownership: You will own the final frontend visual design, custom graphics created specifically for you, and the compiled frontend source code of your website or application.
• Agency Ownership: DhaneshWeb Agency retains the rights to pre-existing libraries, proprietary frameworks, custom plugins, or backend architectural snippets used to build the project. We grant you a perpetual, non-exclusive, royalty-free license to use these underlying elements as part of your final product.

3. Project Timelines & Client Responsibilities

Our ability to deliver projects on time relies heavily on your prompt feedback. Clients are expected to provide necessary assets (logos, text copy, API credentials) and approve design milestones within a reasonable timeframe (typically 3-5 business days).

If a project is delayed by more than 30 days due to client unresponsiveness, DhaneshWeb Agency reserves the right to pause the project and charge a restart fee to reallocate engineering resources.

4. Payment Terms & Billing

Due to the custom nature of our digital services, all payments are non-refundable once engineering or design work has commenced. Our standard payment structure is:

• Project Work: Typically billed as 50% upfront to commence work, 25% upon design approval, and 25% prior to final live deployment (unless otherwise specified in your SOW).
• Retainers (SEO & Maintenance): Billed monthly at the beginning of the billing cycle. Retainers require a 30-day written notice for cancellation.

5. Warranties & Maintenance

We pride ourselves on writing clean, high-performance code. Upon the launch of a new website or application, we provide a 30-day bug-fix warranty to resolve any technical errors related to our code at no extra charge.

This warranty does not cover issues caused by third-party plugin updates, server hosting outages, or changes made to the code by the client or another developer post-launch. For ongoing protection, we highly recommend our Monthly Maintenance & SLA packages.

6. Limitation of Liability

In no event shall DhaneshWeb Agency, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, organic search rankings (SEO), or goodwill, resulting from your use of our services.

Search Engine Optimization (SEO) involves third-party algorithms (e.g., Google) which change frequently. While we utilize industry-leading White-Hat tactics, we cannot guarantee specific numerical rankings or traffic volumes.

7. Governing Law & Jurisdiction

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts located in Noida, Uttar Pradesh, India.
